With the introduction in Book 2 DCC of a reasonableness test, a regulation concerning major corporate events and clawback powers, the legislator has attempted to strengthen the position of the supervisory board with regard to executive compensation. A close examination of the reasonableness test, the major corporate events regulation and the clawback provision shows that the position of the supervisory board has barely improved. An important reason for this is that when introducing the reasonableness test and the clawback power, the legislator never intended to create new powers but only to clarify the already existing legal possibilities for adjustment and clawback. The idea behind this was to give supervisory boards something more to hold on to when exercising their powers regarding executive compensation.
