The UmwG prescribes that the fürness of the offer for the purchase of the shares has to be investigated by one or more independent auditors appointed by the court.1 These independent auditors must prepare a written valuation report.
A shareholder that qualifies for the appraisal right is entitled to waive his right on investigation of the fürness of the offer. This waiver has to be included in a notarial deed. A shareholder may also waive his right on a written report regarding the examination.2
