Every country referred to in this study has its own variant of the private limited company.1 For reasons of clarity, further chapters will indicate the English variant as the private limited company or ltd, the Dutch variant the besloten vennootschap met beperkte aansprakelijkheid or BV and the German variant the Gesellschaft mit beschränkter Haftungor GmbH. Quotations and statutory provisions are translated into (Mid-Atlantic) English in order to facilitate the reader. The quotes or statutory provisions in the original language are included in footnotes.
This study was completed on the 1 St of December 2009. Occasionally, more recent materials have been added. In this study, it is assumed that the legislative proposals for simplification and relaxation of the law on BVs (Parliamentary Papers 31 058), and for amendment of partnership law (Parliamentary Papers 28 746 and 31 065), as available on the aforementioned date, are enacted. The statutory provisions cited in this study refer to the proposed mies, unless otherwise indicated.
