As appears from the above-cited judgment of the Supreme Court of the 16th of December 1991, the oppression remedy has a mandatory nature.1 It is one of the inalienable rights held by shareholders. This view is also widely adhered to in legal literature.2 The oppression remedy can neither be excluded nor substantially limited in the articles of association.3
