This subsection addresses other parts of law and regulation that influence independence. First, independence criteria in the Dutch civil code are described. Like the criteria in the DCGC, these criteria have direct impact on the independence of supervisors and are therefore important to consider in the discussion about independence. Thereafter, conflicts of interest of supervisors are described. A supervisor might be qualified as independent, but a transaction in which he has a personal interest can affect his independence (temporarily). The way that these conflicts of interest are dealt with is therefore important for his independence and the independence of the total supervisory board. Subsequently, evaluation and diversity are addressed.
