The court that has jurisdiction in the exit proceedings also has jurisdiction with respect to claims that are related to such expulsion proceedings or exit proceedings (samenhangende vorderingen), further to Art. 2:336 paragraph 5 in conjunction with. 2:343 paragraph 2 DCC. Art. 2:336 paragraph 5 DCC limits the notion of related claims to claims between parties in proceedings and claims between one of the parties in proceedings and the company.
According to the Minister of Justice, these claims usually represent claims for liability arising from tort caused by conduct complained of in the exit proceedings.1 Another example would be a claim for the nullification of certain resolutions of the company, such as shareholders' resolutions and management board resolutions.
If the exit proceedings are combined with proceedings for related claims, it is in the discretion of the court to determine in which order both claims will be dealt with.2
Last of all, it must be noted that statute does not stipulate that appeal with respect to related claims can only be initiated together with the appeal to the judgment of Art. 2:340 paragraph 1 DCC (cf. Art. 2:339 paragraph 1 DCC).
