The ‘migration’ of a company’s centre of main interest (COMI) combined with moving the corporate seat is used as a reorganisation tool in the case of Schefenacker. The transaction is not without risks. Europe should be ready for a measure (directive or regulation) which deals with the effective restructuring of a business.
