In October 2001 the Swedish Shareholders’ Association (Sveriges Aktiesparares Riksförbund, Aktiespararna, SSA) published the Corporate Governance Policy (hereafter: CGP). (Aktiespararna 2001: 3). The CGP is written from a shareholder perspective and gives advice divided over eight different subjects: (1) transparency for the shareholders and opportunities to exercise control, (2) the company’s capital, (3) the board of directors, (4) remuneration to management, (5) the auditors, (6) incentive schemes for management and employees, (7) information to the stock market and (8) public takeover bids. In this subsection, the recommendations regarding the board of directors (hereafter: the board) and board committees are analysed. The other recommendations are not taken into consideration in this study.
