The SCCG 2010 and the Swedish Companies’ Act do not provide anything about a maximum tenure for directors.
With respect to remuneration, rule 9.8 provides that SNEDs of the board may not participate in remuneration programmes designed for the executive management or other employees of the company. Their remuneration should not include any options on the shares of the company. The SSA’s Corporate Governance Policy of 20011 provided that performance-based remuneration elements might be appropriate if developing companies are in need of board members with special skills. The SCCG 2010 does not contain any such provisions.
