Because the basis of liability of Book 2, Section 216(3) of the Dutch Civil Code is of an internal nature and the claim can therefore only be made by the company itself, it is my view that such a claim constitutes an asset on the basis of which a turboliquidated company can be restored. The payment resulting from this basis of liability after all becomes part of the capital of the company, which may be used for the winding up. Book 2, Section 216(3) of the Dutch Civil Code therefore also plays a ‘dual role’.
