A broader view on the company's affürs is taken towards the phenomenon of setting up rival companies by a director of the company or by a majority shareholder. Setting up a rival company and diverting of the company's' assets to this rival company are both held to be conduct falling within the company's affürs.1 The omission of the directors to take action in this situation can amount to unfürly prejudicial conduct as well, whereas this omission falls within the ambit of S. 994 CA 2006.
