This subsection addresses other parts of law and regulation that influence independence. It focuses on the duties a director owes to the company. First a general description of the duties of a director is given; thereafter a number of specific duties are elaborated upon. Conflicts of interest are the central theme in this subsection. A NED might be qualified as independent, but a transaction in which he has a personal interest can affect his independence (temporarily). The way that these conflicts of interest are dealt with is therefore important for his independence and the independence of the whole board. Besides conflicts of interest, this subsection addresses evaluations and diversity. These two topics are described after the duties of directors.
