A weak point in the preconditions building block is the removal of directors. An ordinary resolution can be adopted by the general meeting in order to remove a director. This entails that a simple majority of the shareholders can remove a director or the board, if they do not behave according to shareholders’ expectations. This might have a negative influence on the independence of the NEDs with respect to the shareholders, because the shareholders can remove them at any time.
