Summary

This Ph.D. thesis is called ‘Keys to Partnership Law’. Its aim is to contribute to the design of new partnership legislation in the Netherlands. For that purpose, it offers recommendations as to the types of partnership to be provided for and the main features to be attributed to each type. It also holds proposals on the rules facilitating structural change, which includes conversion from one type of business entity to another, statutory merger and statutory demerger.
