Article 75 transplanted the appraisal remedy derived from the US. Yet the choice of appraisal triggers is not the same. The three items giving rise to appraisal rights in Article 75 are: 1) withholding of dividends, 2) merger, division or disposition of major assets, and; 3) prolongation of operation terms.
