Diversity on the board receives limited attention in the SCCG 2010. Principle 4 SCCG 2010 requires that the composition of the board is such that the affairs of the company can be managed efficiently and with integrity. Rule 4.1 adds that the board should exhibit diversity and that the ‘company is to strive for equal gender distribution on the board’. The nomination committee must publish a statement on the company’s website explaining its proposals for the appointment of members of the board of directors, which takes into account these composition requirements of Rule 4.1, according to rule 2.6 SCCG 2010. As diversity is part of the composition requirements, the nomination committee is required to publish how it strives for equal gender distribution. Further requirements with respect to diversity and gender diversity in particular are not given in the SCCG 2010 or the Companies’ Act 2006.
