Conflict of interest situations are addressed in the DCGC and the Civil Code. The DCGC requires that conflict of interest situations should be avoided and offers several relationships and circumstances for determining whether there is a conflict of interest. If there is a conflict of interest, then the supervisory director involved may not participate in the transaction. The supervisory board should give approval for the transaction and the transaction must be published in the annual report. The Civil Code provides the same with respect to conflicts of interest and offers the opportunity to give the right of approval to the general meeting in cases when the supervisory board cannot make a decision. Conflicts of interest are addressed well and are strong in this preconditions building block.
