In this article the Dutch Corporate Governance code criteria adopted to identify independent non-executive directors are compared with the criteria used in the EU recommendation and in France, Germany, United Kingdom and United States of America in order to analyse to what extent the Dutch criteria might need to be revised. Also attention is given to the question if shareholders such as institutional investors should have a right to appoint independent non-executive directors.
