The CIC is subject to the ordinary corporate law provisions of the 2006 Act as well as the corporate governance regime applicable to all public or private limited liability companies in the UK. Accordingly, the power to manage is devolved to the board of directors and only limited powers are provided to the members/shareholders in the annual general meeting (hereafter ‘the general meeting’).1
