In 1957, during his inaugural address at Catholic University Nijmegen, Van der Grinten drew attention to the special position of legal persons in private law:1
“Private law tends to be regarded in legal literature as the law, which is aimed at the individual human being. [...] However, this approach gives a distorted view of modern private law. After all, it does not take into account the strong collective elements, which can be noticed in current private law. We find collective elements in various institutions of private law. Of particular significance here is the institution of the legal person. [...] The significance of the legal person in our modern society can hardly be underestimated. Our entire social life is, as it were, interwoven with legal persons.”
This passage has not lost its eloquence over time. On the contrary, legal persons have only become more important in modern society. Business society forms an important pillar of our society. Van der Grinten already mentioned the problem: a private law that focuses mainly on the individual private man lags miles behind social reality.
