8.8.5 Recommendations addressed to the legislator

It is recommended that:
the differentiated distribution of voting rights of art. 2:129/239, subsection 2, and art. 2:140/250, subsection 4, DCC be abolished (par. 2.5.5);
the legislator should enshrine in Book 2 DCC a statutory quota of 35% for the BoD, the SB (or Supervisory Committee), exco and ‘higher management’ of limited liability companies, large associations and foundations. This quota means that at least 35% of the seats shall be occupied by men and at least 35% by women, insofar as these seats are distributed among several natural persons (par. 3.5.7). What is meant by higher management should be further specified;
the legislator should implement a statutory quota of 35% for all high-level government positions. This quota means that at least 35% of the high-level positions shall be occupied by men and at least 35% by women. What is meant by high-level positions should be further specified. They shall in any case include ministerial posts, state secretaries and top civil servants (such as the Secretary-General, the Director-General and the Director) (par. 3.5.7);
the legislator shall not introduce a Business Judgment Rule in Dutch law (par. 6.4 and par. 6.5).
